Please read these Terms of Use (“Terms”, “Terms of Use”) carefully before using the https://placesforhealing.com website (the “Service”) operated by Places For Healing Directory (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

User-Provided Content Terms

IF YOU USE THE SERVICES TO SUBMIT, POST OR GENERATE CONTENT, THEN IN ADDITION TO THE GENERAL PROVISIONS OF THESE TERMS OF USE, PRIVACY POLICY AND THE TERMS APPLICABLE TO ANY OTHER SERVICE THAT YOU ARE USING, THE FOLLOWING ADDITIONAL TERMS WILL APPLY TO YOU. SUCH CONTENT IS REFERRED TO BELOW AS “USER-PROVIDED CONTENT.”

11.1

We reserve the right, but does not assume the obligation, to refuse to post or remove any User-Provided Content that violates our Publication Standards, in our sole and absolute discretion.

11.2

Publication Standards for Places for Healing. You represent and warrant that you will not post any of the following on the Places for Healing directory website:

  1. Any content that is abusive, harassing, unlawful, harmful, offensive, threatening, invasive of privacy or publicity rights, defamatory, libelous, vulgar, obscene, pornographic, indecent, lewd, suggestive, profane, hateful, or racially, ethnically or otherwise objectively inappropriate material of any kind, including, but not limited to, content or images related to child abuse, human trafficking, sex trafficking, prostitution, excessive violence, or any content that encourages or incites a third party to engage in conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national or international law;
  2. Content that is made to cause anger or harass other users, (e.g., “trolling”), or reviews or comments that are inflammatory or seem to be purposefully deceptive or not based on personal experience (as determined by us in our sole discretion);
  3. Assertions of patently unlawful conduct, including allegations of occurrences of illegal activity or criminal behavior, malpractice, purposeful overcharging, or health code violations, or false, misleading, deceptive or fraudulent advertising, including savings claims that do not offer provable savings or unsupported health claims (To report such assertions of illegal activity or criminal behavior, Places For Healing encourages you to contact the local police or appropriate authorities who have the ability to investigate and handle such situations, and Places for Healing may contact local authorities to investigate criminal allegations posted on the Places for Healing website if warranted.);
  4. Any Political campaign content such as, mass messages, newsletters, blog posts of any kind or any form of SPAM, or reviews that contain the transmission, distribution or delivery of any unsolicited bulk or commercial e-mail;
  5. Individual information of other users or messages soliciting the submission of such personal information, including email addresses, website addresses, phone numbers, postal addresses and/or other personally identifiable information;
  6. Reviews submitted by the reviewed business’s owners, employees (past or present), family members, agents, affiliates and/or competitors that do not explicitly disclose the relationship between the reviewer and the business;
  7. Content that impersonates, disguises or conceals the identity of any person or entity or otherwise misrepresents a user’s affiliation with a person or entity, including the reviewed business or a competitor;
  8. Any content that is promotional or commercial in nature, or is inappropriate or inaccurate based on the applicable subject matter, location or topic;
  9. Content that is not legible or intelligible, that is encrypted or that contains viruses, malware, trojan horses, worms, time bombs, cancelbots, tracking mechanisms, or other computer programming code or routines that are intended to interfere with, damage, erase, follow, intercept or appropriate any system, data, individual user or personal information;
  10. Any content that may infringe any patent, trademark, trade secret, publicity rights, copyright or other intellectual or proprietary right of any party;
  11. Any content that involves unlawful advertising for or promotes unlawful use or sale of alcohol, tobacco, controlled or illegal substances, or weaponry, gambling, casinos, off-track betting, online gambling, or other gambling of any form, or that promotes or has a connotation with any illegal activity; and
  12. Content that violates any publication or business standards or policies of Places for Healing as determined by us in our sole discretion.

If you see objectionable content on the Places for Healing Directory site, you may report such content to us through any available reporting means as provided (e.g., Flag, Feedback form, etc.) or by contacting our Customer Service. Places for Healing reserves the right to address such requests in any manner in its sole discretion.

  1. Responsibility for Your Content. As a listing owner, you alone are responsible for Your Content and assume all risks associated with Your Content, including anyone’s reliance on its quality, accuracy, or reliability, and any risks associated with personal information you disclose. You represent that you own or have the necessary permissions to use and authorize the use of Your Content as described herein. You may not imply that Your Content is in any way sponsored or endorsed by Places for Healing.You may expose yourself to liability if, for example, Your Content contains material that is false, intentionally misleading, or defamatory; violates any third-party right, including any copyright, trademark, service mark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; contains material including illegal hate speech or pornography; exploits or harms minors in any way; violates or advocates the violation of any law or regulation; or violates these Terms.

Intellectual Property

The Service and its original content, features and functionality are and will remain the exclusive property of Places For Healing Directory and its licensors. Each listing owner’s content is considered their own intellectual property and does not belong to Places for Healing.

Links To Other Web Sites

Our Service may contain links to third-party web sites or services that are not owned or controlled by Places For Healing Directory.

Places For Healing Directory has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Places For Healing Directory shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

Payment and Refunds

Recurring Payment. Once you choose a Listing Subscription Plan, such Subscription Plan shall automatically renew each month. You may choose to opt-out from such renewal by clicking the “cancel subscription” option in your Account.

All sales are final, and Places for Healing does not offer any money-back guarantees. You recognize and agree that you shall not be entitled to a refund for any any monthly listing fees or add-on services under any circumstances.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Disclaimer

Our Services are provided “as is.” Places for Healing and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, to the maximum extent allowed by applicable law, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Places for Healing does not make any warranty that our Services will be error free or that access thereto will be continuous or uninterrupted.

No Liability

Places for Healing or any of its affiliates, subsidiaries, associations or contractors cannot be held liable for any misleading, offensive, obscene/pornographic or infringing user-submitted content in its directory listings; including submitted videos, coupons, listing descriptions, external websites or any other user-created listing content. We are also not responsible for any false, misleading, or defamatory user reviews. The federal Communications Decency Act (47 U.S. Code § 230) limits the liability of interactive computer services, like Places for Healing, for their role in publishing third-party Content, including consumer reviews. Additionally, anti-SLAPP laws, such as Cal. Civ. Proc. Code  § 425.16 in California, may require you to pay Places for Healing’s attorneys’ fees if you attempt to impose such liability on us through legal proceedings.

Indemnification

You agree to indemnify and hold harmless Places for Healing, its affiliates, subsidiaries, associations, contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all losses, liabilities, demands, damages, costs, claims, and expenses, including attorneys’ fees, arising out of or related to your use of our Services, including but not limited to your violation of the Agreement.

Governing Law

These Terms shall be governed and construed in accordance with the laws of United States without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
